It takes effect when payment is received. Producer grants Licensee a non-exclusive, non-transferable, worldwide license to use the instrumental ("Beat") named on the receipt to make one (1) new song ("New Song"), on the terms below.
2. Files
Producer delivers: Untagged MP3 (320 kbps). Untagged MP3 and WAV files are delivered by download link right after payment where available; any file exported by hand, including trackout stems, is emailed within forty-eight (48) hours of payment.
3. What Licensee may do
Record one (1) New Song over the Beat and release it on streaming and download services.
Up to 50,000 streams of the New Song in total, audio and video combined, across all platforms.
No music video.
Unlimited non-profit live performances of the New Song (no ticket price, fee or pay).
One (1) paid live performance of the New Song (any show where Licensee is paid or tickets are sold).
No radio broadcast.
4. Income and credit
All income from the New Song belongs to Producer. Producer is entitled to one hundred percent (100%) of all income the New Song earns from any source, including streaming and download royalties, master royalties, neighbouring rights, performance royalties, mechanical royalties, YouTube and social-media monetization, and performance fees other than the fee for the one (1) paid performance allowed in section 3.
Writing and publishing credit. Licensee agrees that Producer is registered and credited as the holder of one hundred percent (100%) of the writer's share and one hundred percent (100%) of the publisher's share of the New Song, and assigns to Producer all of Licensee's right to receive that income.
How Licensee pays it. When Licensee releases the New Song, Licensee sets a 100% royalty split to Producer in the distributor (for example DistroKid "Splits" or an equivalent), registers the New Song with its performing-rights organization (for example SOCAN) with the shares above, and remits within thirty (30) days any income from the New Song that Licensee receives directly.
Producer credit. Every release, upload and listing of the New Song must credit "Prod. dvlce" in the title or in the credits.
5. What Licensee may not do
No sync use: film, TV, advertising, video games, trailers, or any other audio-visual work except the music videos allowed above (none).
No resale, sublicense, transfer or giving away of the Beat or the files.
No release of the Beat on its own, and no second song over the Beat.
No registration of the Beat or the New Song with Content ID or any similar fingerprinting system.
No claim of ownership of the Beat, and no use of the Beat to train or prompt an AI model.
No use beyond the limits in section 3. To go past a limit, Licensee buys a higher lease or an exclusive license first.
6. Ownership
Producer keeps full ownership of the Beat and its copyright, and may keep leasing or sell the Beat to others, including exclusively. Licensee owns Licensee's own lyrics and vocal recording, subject to section 4. If Producer sells exclusive rights to the Beat later, this lease stays valid for the New Song within its limits.
7. Breach, refunds and the rest
If Licensee breaks this agreement, the license ends and all use of the New Song must stop. Files are digital and delivered by email, so payments are final once the files are sent, except where the law requires otherwise. This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. It is the whole agreement for this lease. License version 2026-09-25.
